Articles of association

These are the internal regulations on the running of a company. They are registered when the company is formed. They bind the company to the members as if each member had signed them, but do not bind the company or the members to outside persons. The articles are subject to the memorandum of association and must not contain any thing illegal or ultra vires. They can be altered by the company by special resolution at a general meeting. The effect of registration is to give general notice to the public – any person may inspect the memorandum or articles of any company at the Companies Registration Office, on paynjent of a fee. A specimen form of articles. table A, is provided by Section 8 of the 1985 Companies Act. This may be adopted in part or in whole.
