These can no longer be formed. They took the form of large partnerships with transferable shares. They were governed by Deed of Settlement between shareholders and trustees. They had unlimited liablity. a company formed in such a way can register under the Companies Act as an unlimited company, substituting a memorandum of association and articles of association for the Deed of Settlement.
