The investment case for a blank check company depends largely on its ability to identify an attractive target, negotiate a transaction, and complete a business combination within the timeframe and terms set out in its governing documents. Until such a deal is completed, the company’s assets are typically centered on cash raised in its initial public offering and held for the purpose of funding a future transaction or returning capital under applicable redemption provisions.

SPAC shareholders commonly evaluate factors such as sponsor experience, acquisition strategy, deal discipline, shareholder redemption rights, trust account structure, and the quality of any proposed merger target. Once a transaction is announced, the profile of the security can change significantly because investors begin assessing the operating business that may become public through the combination.
