As a Class A ordinary share investment, NMP Acquisition gives public investors exposure to the SPAC’s search for a target company and any future transaction it may complete. SPACs typically place the majority of IPO proceeds into a trust account while management evaluates potential acquisition candidates. Investors usually receive redemption rights in connection with a proposed business combination, allowing them to recover their share of the trust value if they do not wish to remain invested in the combined company.

The investment profile of a blank check company is different from that of an operating business. Its value depends heavily on the quality and reputation of the sponsor team, the terms of its capital structure, the time remaining to complete a deal, market conditions for mergers and new listings, and the attractiveness of any target ultimately announced. Before a business combination, there are limited operating results to analyse.
